These Terms of Service ("Terms") govern your use of services provided by Quentiv ("we," "us," or "our"), a brand operated by Global Digital Sistema, located at Unit 1526, Panin Tower Level 15, Jalan Asia Afrika Lot 19, Jakarta 10270, Indonesia. By engaging our services, you agree to these Terms.
Quentiv provides B2B outbound lead generation services, including but not limited to cold email campaign strategy, copywriting, prospect list building, campaign management, and performance reporting ("Services").
2.1 All engagements are formalized via a Service Agreement signed by both parties prior to commencement of work.
2.2 Payment is due in advance of service delivery unless otherwise stated in the Service Agreement.
2.3 Fees are non-refundable once a campaign has commenced.
2.4 Invoices not paid within 7 days of the due date may result in suspension of Services.
3.1 You agree to provide accurate information about your business, target market, and service offering.
3.2 You are responsible for ensuring that your product or service complies with all applicable laws in your jurisdiction.
3.3 You grant Quentiv permission to send outbound emails on your behalf using approved messaging and prospect lists.
4.1 Deliverables and timelines are outlined in the Service Agreement.
4.2 Quentiv will make reasonable efforts to meet agreed timelines. Delays caused by client inaction or late approvals are not the responsibility of Quentiv.
5.1 All campaign materials, copy, and strategies created by Quentiv remain the intellectual property of Quentiv until full payment is received.
5.2 Upon full payment, ownership of campaign materials created specifically for the client transfers to the client.
6.1 Both parties agree to keep confidential any proprietary information shared during the engagement.
6.2 Quentiv will not share your business information, prospect lists, or campaign data with third parties without your written consent.
7.1 Quentiv does not guarantee specific results, including a minimum number of leads, replies, or closed deals.
7.2 Our liability is limited to the total fees paid by the client in the month in which the dispute arises.
7.3 We are not liable for indirect, incidental, or consequential damages arising from use of our Services.
8.1 Either party may terminate the engagement with 30 days written notice.
8.2 Upon termination, any outstanding invoices become immediately due and payable.
8.3 Quentiv reserves the right to terminate immediately in cases of non-payment or breach of these Terms.
These Terms are governed by the laws of the Republic of Indonesia. Any disputes shall be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration.
Quentiv reserves the right to update these Terms at any time. Clients will be notified of material changes via email. Continued use of our Services constitutes acceptance of updated Terms.
